1. Acceptance of Terms
By accessing or using the Praahis platform (the "Service"), operated by Praahis Enterprises ("Praahis," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms apply to all users, including restaurant owners/managers ("Restaurant Partners"), staff members ("Staff Users"), and dine-in customers ("Customers").
2. Description of Service
Praahis is a cloud-based restaurant management platform that includes:
- QR code-based digital menu and ordering system for dine-in customers
- Kitchen Display System (KDS) for real-time order management
- Waiter task management and table assignment
- Cashier billing and payment processing
- Manager dashboard with analytics, menu management, and staff management
- Multi-outlet and multi-floor support
- Online and cash payment processing
3. Eligibility & Registration
- You must be at least 18 years of age to create a Restaurant Partner or Staff account.
- You must provide accurate, complete, and current information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must not share your login credentials with unauthorized individuals.
- You are responsible for all activities that occur under your account.
4. Subscriptions & Pricing
4.1 Subscription Plans
- The Service is offered on a monthly subscription basis, priced according to the number of tables or restaurant type.
- All plans include all features — there are no feature-gated tiers.
- Pricing is available on our website and may be updated with 30 days' notice.
4.2 Free Trial
- New Restaurant Partners receive a 3-day free trial with full access to all features.
- No credit card is required for the trial period.
- At the end of the trial, you must subscribe to continue using the Service.
4.3 Transaction Fees
- A 4% transaction fee applies to online payments processed through the platform.
- Cash orders incur 0% transaction fees.
- Transaction fees are deducted automatically before payouts.
4.4 Payment & Billing
- Subscription fees are billed monthly in advance.
- All fees are in Indian Rupees (INR) unless otherwise stated.
- Failed payments may result in service suspension after a 7-day grace period.
- Refunds are handled on a case-by-case basis. Contact support for refund requests.
5. User Responsibilities
5.1 Restaurant Partners
- You are solely responsible for the accuracy of your menu items, pricing, descriptions, and allergen information.
- You must comply with all applicable food safety regulations and local business laws.
- You must ensure your staff members are trained on using the platform appropriately.
- You are responsible for managing and resolving customer complaints related to food quality, service, and order accuracy.
5.2 Staff Users
- Staff accounts are created and managed by the Restaurant Partner.
- Staff Users must use the platform only for authorized purposes related to their role.
- Misuse of staff access (e.g., unauthorized data access, order manipulation) may result in account suspension.
5.3 Customers
- By placing an order through the QR-based ordering system, you agree to pay for the items ordered.
- You are responsible for reviewing your order before submission.
- Any issues with food quality, allergies, or order accuracy should be raised directly with the restaurant.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Upload harmful code, viruses, or any content designed to disrupt the Service.
- Scrape, crawl, or harvest data from the Service without written permission.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to send spam, unsolicited communications, or phishing attempts.
- Impersonate another user or entity.
- Circumvent any access controls, rate limits, or security measures.
7. Intellectual Property
- The Service, including its design, code, branding, logos, and documentation, is owned by Praahis Enterprises and protected by intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period.
- Restaurant Partners retain ownership of their own content (menus, images, business data) uploaded to the platform.
- By uploading content, you grant Praahis a license to store, display, and process the content as necessary to provide the Service.
8. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to data practices described in the Privacy Policy.
9. Service Availability & Uptime
- We strive for 99.9% uptime but do not guarantee uninterrupted service.
- Planned maintenance will be communicated in advance whenever possible.
- We are not liable for disruptions caused by factors outside our control (internet outages, third-party service downtime, force majeure events).
10. Termination
10.1 By You
- You may cancel your subscription at any time from the Manager Dashboard.
- Cancellation takes effect at the end of your current billing period.
- You may request complete account and data deletion by contacting us.
10.2 By Us
- We may suspend or terminate your access if you violate these Terms.
- We may suspend service for non-payment after the grace period.
- We may discontinue the Service with 60 days' advance notice, providing data export options.
11. Limitation of Liability
To the maximum extent permitted by law:
- Praahis is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total liability shall not exceed the amount you paid to Praahis in the 12 months preceding the claim.
- We are not responsible for losses caused by inaccurate menu data, pricing errors, or food-related issues entered by Restaurant Partners.
- We are not a party to transactions between restaurants and their customers — we are a technology provider.
12. Indemnification
You agree to indemnify and hold harmless Praahis Enterprises, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use or misuse of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights.
- Content you upload to the platform.
13. Dispute Resolution
- These Terms are governed by the laws of India.
- Any disputes shall first be attempted to be resolved through good-faith negotiation.
- If negotiation fails, disputes will be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, seated in Hyderabad, India.
- The language of arbitration shall be English.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or an in-app notification at least 30 days before taking effect. Continued use of the Service after updates constitutes acceptance of the new Terms.
15. Miscellaneous
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Praahis.
- Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
